High standards of governance are critical to our sustainability
High standards of governance are critical to our sustainability
We have a set of governance structures and practices in place designed to ensure that our company is run responsibly in the best interests of its shareholders and other stakeholders.
The Company has complied with all requirements of the 2018 UK Corporate Governance Code (the Code), with the exception of Provision 19 in respect of FY25, further details of which can be found in the Company’s Annual Report.
The Board’s role is to provide leadership and direction to the Group. Supported by its Committees, it has established a strong governance framework which, together with our high ethical standards, supports the long-term sustainable success of the Group.
The Directors have a key role in setting our strategy and ensuring it is implemented responsibly within this governance framework. They are mindful of their legal duties to act in the way they consider, in good faith, will be most likely to promote the success of the Company for its shareholders, whilst having regard to the interests of other stakeholders.
The Board delegates matters to Board Committees. Clearly defined terms of reference and written limits support these delegations.
The Board Diversity Policy sets out the approach to diversity, equity and inclusion by the Board of Directors.
To guide and promote good governance and ethical behaviour across our Group, we maintain a series of policies. These guide our actions and those of our employees, suppliers and partners.
